Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you and Directive ("we," "us," or "our"), concerning your access to and use of our website and services. You agree that by accessing our services, you have read, understood, and agree to be bound by all of these Terms of Service.

Services

Directive provides managed IT services, cybersecurity solutions, cloud hosting, and related technology services to businesses. Our services are designed to help organizations manage their technology infrastructure, protect their data, and optimize their IT operations.

User Responsibilities

By using our services, you agree to:

  • Provide accurate and complete information when registering for our services
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use of your account
  • Use our services only for lawful purposes
  • Comply with all applicable laws and regulations
  • Not interfere with or disrupt our services or servers

Service Level Agreement

For managed IT services, specific service level agreements (SLAs) will be outlined in your individual service contract. These SLAs define response times, uptime guarantees, and support availability. The terms in your service contract supersede any general terms stated here regarding service levels.

Payment Terms

Payment terms for our services include:

  • Fees are due as specified in your service agreement
  • We accept payment via credit card, ACH, and check
  • Late payments may result in service suspension
  • Prices are subject to change with 30 days notice
  • All fees are non-refundable unless otherwise stated

Intellectual Property

Our website, services, and all content, features, and functionality are owned by Directive and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

Limitation of Liability

To the fullest extent permitted by law, Directive shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of our services.

Indemnification

You agree to defend, indemnify, and hold harmless Directive and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of our services.

Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms of Service. Upon termination, your right to use our services will cease immediately. Provisions of these terms that by their nature should survive termination shall survive.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any legal action or proceeding arising under these terms shall be brought exclusively in the courts located in New York.

Changes to Terms

We reserve the right to modify or replace these Terms of Service at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. Your continued use of our services after such modifications constitutes your acceptance of the new terms.
